These Terms of Service outline the rules and expectations for working with DesignScape Digital Solutions. We keep things straightforward so both sides are protected and clear on what to expect.
1. Introduction
These Terms of Service ("Terms") govern your use of services provided by DesignScape Digital Solutions ("we", "our", "us"), a digital marketing and automation agency based in Dar es Salaam, Tanzania.
By engaging our services or using our website, you agree to be bound by these Terms. Please read them carefully. If you do not agree, please do not use our services.
2. Services
DesignScape Digital Solutions provides digital marketing, automation, and creative services. These include (for example) social media and content, branding and design, web design and development, automation and workflows, email and SMS campaigns, photography, and related digital consultancy.
The exact scope, deliverables, timelines, and pricing for each engagement are always defined in a separate proposal or agreement that we share with you before work starts.
How we deliver services: We may provide all or part of the services with the support of vetted specialist partners. These partners are already bound by their own contractual and legal confidentiality obligations. We only share the minimum information they need to do the work, and we expect them to handle your assets (like logos, brand files, and content) carefully.
3. Third-Party Platforms & Tools
Many of our services depend on third-party platforms and tools that are not operated by us. This includes (without limitation) Meta platforms (Facebook, Instagram, WhatsApp and related products), Google services, email service providers, hosting providers, analytics tools, and automation/messaging providers.
You acknowledge that:
• Platform availability, outages, API changes, policy enforcement, review processes, rate limits, and account restrictions are outside our control.
• Results for advertising, social media growth, and messaging performance can be affected by platform algorithms, policy changes, market conditions, creative/offer quality, audience behavior, and account history.
• Where your project requires access to your accounts (e.g., Meta Business Manager, ad accounts, WhatsApp Business tools, domains, hosting, email tools), you are responsible for providing timely access and maintaining ownership/authority over those accounts.
We will act in good faith to support you, recommend best practices, and implement agreed work, but we do not guarantee uninterrupted platform performance or any specific outcomes unless expressly agreed in writing.
4. AI-Assisted Features
Some services and website features may use AI-assisted tools (for example, automated chat or message drafting) to improve speed and provide general information.
You acknowledge that AI-generated content may be incomplete or inaccurate and should not be relied on as professional advice (including legal, financial, or medical advice). For important matters, please contact our team for confirmation.
You are responsible for reviewing and approving any AI-assisted outputs before they are published or used in your business.
5. Client Responsibilities
To ensure we can deliver our services effectively, you agree to:
• Provide accurate, complete, and timely information required for the project
• Review and approve deliverables within agreed timelines
• Ensure you have the necessary rights to any content, images, or materials you provide to us
• Pay invoices within the agreed payment terms
• Assign a responsible point of contact for project communication
6. Payment Terms
Unless otherwise agreed in writing:
• A deposit (typically 50%) is required before work begins
• The remaining balance is due upon project completion or as per the agreed milestone schedule
• Invoices are due within 7 days of issue unless stated otherwise
• Late payments may result in work being paused until the outstanding balance is settled
• All prices are quoted in the currency stated in the proposal and are subject to applicable taxes
7. Intellectual Property
Upon receipt of full payment:
• All final deliverables created specifically for your project become your property
• DesignScape Digital Solutions retains the right to display the work in our portfolio and marketing materials unless otherwise agreed in writing
We retain ownership of:
• Any pre-existing assets, templates, tools, or frameworks we use in delivering the work
• Any work not fully paid for
You warrant that any materials you provide to us do not infringe any third-party intellectual property rights.
8. Revisions & Scope Changes
Each project proposal includes a defined number of revision rounds. Requests beyond this scope may be subject to additional charges.
If you request changes that significantly alter the original project scope, we reserve the right to revise the timeline and pricing accordingly. Any scope changes will be confirmed in writing before additional work proceeds.
9. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of the engagement. This includes business strategies, client data, pricing, and unreleased campaigns.
We do not sell or publicly disclose your confidential information. We may, where reasonably necessary to deliver the services, share limited information with vetted specialist partners (for example, designers, developers, or automation specialists) who support your project. These partners are already bound by their own contractual and legal confidentiality obligations, and we expect them to handle your information securely. We may also share information where required by law.
10. Termination
Either party may terminate an engagement with 14 days' written notice.
Upon termination:
• You will be invoiced for all work completed up to the termination date
• All deposits and payments already made are non-refundable unless otherwise agreed
• We will hand over any completed deliverables upon receipt of outstanding payment
11. Limitation of Liability
To the fullest extent permitted by law, DesignScape Digital Solutions shall not be liable for:
• Indirect, incidental, or consequential losses
• Loss of revenue, data, or business opportunities arising from the use or non-use of our services
• Delays or failures caused by circumstances outside our reasonable control (force majeure)
Our total liability to you in connection with any engagement shall not exceed the total fees paid by you for that specific engagement.
12. Website Use
When using our website (designscape.tz), you agree not to:
• Use the site for any unlawful purpose
• Attempt to gain unauthorised access to any part of the site or its systems
• Reproduce, distribute, or republish content from the site without our written permission
We reserve the right to modify or take down any content on our website at any time without notice.
13. Governing Law
These Terms are governed by the laws of the United Republic of Tanzania. If a serious dispute arises that we cannot resolve together in good faith, it may ultimately be handled by the courts of Tanzania.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, processes, or legal requirements. The most current version will always be available on this page. Continued use of our services after any updates constitutes acceptance of the revised Terms.
